Terms & Conditions for Use of Services

The MyHaven platform (the “Platform”) is owned, operated and maintained by Haven Group Digital Services (FZC) (hereinafter referred to as “MyHaven”, “we”, “us” or “our”). MyHaven is a Free Zone Company licensed by the SRTI Free Zone Authority in Sharjah, United Arab Emirates, under Licence No. 11866, with its registered address at Sharjah Research Technology and Innovation Park, Sharjah, United Arab Emirates.

These Terms & Conditions for Use of Services (the “Terms”) govern your access to and use of the Platform and the services made available by MyHaven through the Platform (the “Services”). By creating an account, accessing or using the Platform, submitting information and documents through the Platform or purchasing any Services, you acknowledge that you have read, understood and agree to be legally bound by these Terms, together with any additional terms, policies or guidelines expressly incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the Platform or Services.

These Terms constitute a legally binding agreement between you and MyHaven. References in these Terms to the “User”, “you” or “your” mean the individual accessing or using the Platform or Services.

MyHaven is a technology platform that enables users to access and use estate planning and digital document preparation services. MyHaven is not a law firm, does not practise law and does not provide legal advice. Nothing on this Platform, in your case file, or in any message from us constitutes legal advice and no lawyer-client relationship exists between you and us at any point.

MyHaven does not advise you on who should inherit, whether a particular arrangement is appropriate for your circumstances, how UAE law may apply to a particular structure, or the tax consequences of any arrangement. You are responsible for making such decisions based on your own circumstances and should obtain appropriate professional advice where required.

Where your circumstances involve complex estate planning arrangements, assets or structures spanning multiple jurisdictions, or matters requiring advice tailored to your individual circumstances, you should obtain independent legal advice from a lawyer duly qualified and licensed to practise in the UAE or otherwise appropriately qualified in the relevant jurisdiction.

Any documents generated through the Platform are prepared based on the information and instructions provided by you through the relevant questionnaire on the Platform. You remain responsible for reviewing the documents and for ensuring that all information and instructions provided by you are accurate, complete and current before relying upon or proceeding with any such documents.

You are 21 (Twenty-One) years of age and have the legal capacity to enter into a binding agreement and use the Services.

You are of sound mind and have the capacity to understand the nature and effect of making and executing a Will or other document prepared through the Services, if any.

You are not a Muslim who is also a national of the UAE or another GCC state and acknowledge that the rules applicable in such circumstances may differ and that the Services are not intended for such persons.

You are acting for yourself and of your own free will, without duress, coercion or undue influence from any other person.

You own or have an interest in assets located or arising within the United Arab Emirates.

You understand the nature and scope of the Services provided by MyHaven and acknowledge that MyHaven is a technology platform for estate planning and digital document preparation and does not provide legal advice or legal representation.

You understand that you may obtain independent legal advice before using the Services and that any decision not to do so is made voluntarily and at your own discretion.

You are using the Services voluntarily and of your own free will and are not acting under duress, coercion or undue influence from any person.

You undertake to promptly notify MyHaven of any material change to the information, documents or instructions provided by you which may affect the Services or the preparation or content of any document.

By accessing or using the Platform or any of the Services, you represent that all information, documents, instructions and other materials provided by you through the Platform are accurate, complete and not misleading.

To use the Services on the Platform, you must register for an account by providing accurate and complete information. You are responsible for maintaining the confidentiality and security of your account credentials and for all activity undertaken through your account. MyHaven does not independently verify the information or materials submitted by you and may rely on the information and instructions provided by you in delivering the Services.

Documents prepared through the Platform are generated based on the information and instructions provided by you. You are responsible for carefully reviewing each document and ensuring that it accurately reflects your intentions and instructions before it is executed, submitted for registration or otherwise relied upon.

MyHaven does not guarantee that any document prepared through or submitted via the Platform will be accepted, registered, attested, approved or otherwise recognised by any court, governmental authority, registry or other competent authority. Any such acceptance, registration or recognition remains subject to the applicable laws, procedures, requirements and discretion of the relevant authority.

Unless expressly agreed otherwise, the Services do not include: (a) legal advice, legal opinions or legal representation; (b) tax advice, tax planning, or advice regarding tax treatment or estate planning arrangements; (c) independent verification, investigation or due diligence of any information or documents provided by you; (d) execution, enforcement or administration of a Will following the death of the testator; (e) probate proceedings, estate administration or the distribution of estate assets; (f) the resolution or management of disputes involving beneficiaries, executors, guardians or other parties; (g) advice or assistance on assets located outside the UAE or the laws of any jurisdiction other than the UAE; (h) any service or assistance not expressly described on the Platform or otherwise agreed with you as part of the relevant Service.

Where a bilingual document is required or forms part of the relevant Service, the document may be prepared in both English and Arabic. MyHaven works with qualified and appropriately licensed translation professionals to prepare the Arabic version of the document and the cost of such translation is included in the fee for the relevant Service.

You are responsible for reviewing the complete document in both languages before execution, submission or registration. If you identify any translation error, you should notify MyHaven promptly so that the Arabic version can be reviewed and, where appropriate, corrected by the relevant translation professional without any additional fee. Any change to the substance of the document or to your instructions will constitute an amendment and may be subject to an additional fee, where applicable.

MyHaven prepares documents based on the information and instructions provided by you and with reference to the applicable requirements and procedures known to us at the time of preparation. While we endeavour to keep our templates and processes appropriately updated, MyHaven does not guarantee that any document prepared through the Platform will be accepted, registered, attested or otherwise approved by the relevant UAE authority.

Registration is a separate step to be completed by you directly with the relevant UAE authority after receiving your final documents from MyHaven. The acceptance, registration, attestation or approval of any document is determined by the relevant authority in accordance with its applicable laws, requirements, procedures and practices. You acknowledge that MyHaven has no control over the decisions, processing times, requirements or procedures of any such authority.

Any Third-Party Fees payable to government authorities, courts or other third parties in connection with the Services are separate from the Platform Fee and are payable directly to the relevant party and are non-refundable once paid.

Where a document prepared by MyHaven is rejected solely due to a formatting or procedural error, MyHaven will correct the relevant error and re-prepare the document at no additional Service Fee. For the avoidance of doubt, this does not apply where the rejection or required amendment arises from: (a) inaccurate, incomplete or misleading information or instructions provided by you; (b) any change in your circumstances or instructions after the document was prepared; (c) any change in applicable law, regulatory requirements, court or authority procedures or registration requirements; (d) any issue relating to the substance or legal effect of the document that requires legal advice or a change to your instructions; and (e) any third party dispute or government, court or third-party fee or charge.

The correction commitment under Clause 7.4 applies only to requests notified to MyHaven within six (6) months from the date of purchase. Any amendment or re-preparation required after registration of the document will be treated as a new service and charged at the applicable Platform Fee at the time the service is requested, together with any applicable third-party or government fees.

All Platform Fees are stated in UAE Dirhams (AED) and are inclusive of VAT where applicable. The applicable Platform Fee will be displayed on the Platform and again at checkout before you complete your purchase. Payment is processed through our designated payment provider at the time of purchase.

All Platform Fees are non-refundable once payment has been made. No refund, credit, reversal or reimbursement of any Platform Fee will be provided, including but not limited to where you subsequently decide not to proceed with the Services, fail to complete the questionnaire or process, provide incomplete or inaccurate information, change your instructions or circumstances, or are found to be ineligible after payment, except where a refund agreed by MyHaven in writing or is required by applicable law.

No refund of any Platform Fee will be due because a document prepared through the Platform is not accepted, registered, attested or approved by any UAE authority, court, registry or other competent authority, irrespective of the reason for such non-acceptance, registration, attestation or approval, except where a refund agreed by MyHaven in writing or is required by applicable law.

Government, court and other Third-Party Fees are separate from the Platform Fee and are non-refundable once paid to the relevant authority or third party. MyHaven shall not be responsible for any increase, variation or additional charge imposed by any authority or third party.

All intellectual property rights in and to the Platform, including its software, technology, design, user interface, question flows, original templates, document structures, clause libraries, wording, content, trademarks, logos, branding and other materials made available through or in connection with the Services, are and shall remain the property of MyHaven or its licensors. No other right, title or interest in or to the Platform or any of its underlying intellectual property is granted or transferred to you.

Any document prepared specifically for you through the Services is provided for your personal use and remains your document. You may print, retain, share or provide such document to your executor, beneficiaries, legal advisers or other persons as you consider appropriate. However, our right to use any document prepared for you does not extend to copying, reproducing, extracting, adapting, distributing, commercialising or otherwise using MyHaven’s underlying templates, document structures, clause libraries, wording or other proprietary materials to prepare documents for third parties or to develop, operate or support any competing product or service.

MyHaven collects and processes personal data in accordance with our Privacy Policy, which forms part of these Terms. By accessing or using the Platform or Services, you acknowledge that your personal data will be collected, used, stored and otherwise processed in accordance with the Privacy Policy. MyHaven applies appropriate technical and organisational measures designed to protect personal data against unauthorised access, loss, misuse, alteration or disclosure.

Whilst we have taken all reasonable steps to ensure the accuracy and completeness of the information on this Platform, it is provided on an “as is” basis and we give no warranty and make no representation regarding the accuracy or completeness of the content or Service provided through the Platform. Further, no warranty is given that the Platform shall be available on an uninterrupted basis, and no liability can be accepted in respect of losses or damages arising out of such unavailability.

MyHaven uses reasonable efforts to ensure that the Platform is free from viruses and other malicious or harmful content. However, access to and use of this Platform is at the user’s own risk, and we do not warrant that the use of this Platform or any material downloaded from it will not cause damage to any property, including but not limited to loss of data or computer virus infection. You are responsible for maintaining appropriate safeguards, including up-to-date security and antivirus measures, on any device used to access the Platform.

The Platform may contain links to third-party websites or services, including payment processors and government portals (“Third-Party Sites”). These links are provided for convenience only. MyHaven does not control and accepts no responsibility for the content, availability, privacy practices, security, terms or practices of any Third-Party Site.

Your use of any Third-Party Site is at your own risk and is subject to the terms and conditions and privacy policies applicable to that Third-Party Site. MyHaven does not endorse or make any representation or warranty regarding any Third-Party Site or any products, services or information made available through it.

MyHaven shall not be responsible for any loss, damage or other consequences arising from your access to or use of any Third-Party Site or from any transaction or interaction between you and a third party.

You agree to indemnify, defend and hold harmless MyHaven, its directors, officers, shareholders, employees, representatives and agents (each an “Indemnified Party”) from and against any and all claims, demands, actions, proceedings, liabilities, losses, damages, fines, penalties, costs and expenses (including reasonable legal fees, remediation expenses and costs of regulatory investigations) suffered or incurred by an Indemnified Party in connection with: (a) your use of the Platform; (b) your breach of these Terms; (c) any false or inaccurate information you provided; or (d) your violation of any applicable law.

MyHaven, its directors, officers, shareholders, employees, representatives and agents shall not be liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any indirect, incidental, special, consequential or punitive loss or damage, or for any loss of profits, revenue, business, opportunity, anticipated savings or goodwill, or for any loss or damage arising from decisions or actions of any government authority, court or registry in relation to the acceptance, registration, attestation or rejection of your documents, or from errors or inaccuracies in documents resulting from information or instructions provided by you, arising out of or in connection with your access to or use of the Platform or Services.

MyHaven’s total aggregate liability arising out of or in connection with the Platform or Services, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed the total Platform Fees actually paid by you to MyHaven for the specific Services giving rise to the claim.

MyHaven may terminate or suspend your access to the Platform or Services, with immediate effect and without prior notice, if you breach these Terms or if we reasonably believe that your use of the Platform or Services poses a risk to MyHaven, other users or any third party. Upon termination, your right to use the Platform and Services ceases immediately.

Provisions of these Terms that by their nature are intended to survive termination shall survive, including provisions relating to intellectual property, fees and payment obligations, privacy and data protection, limitation of liability, dispute resolution and governing law.

Any dispute, claim or controversy arising out of or in connection with the Platform, Services or these Terms, including any question regarding their existence, validity, interpretation or termination, shall first be referred to the parties for good-faith amicable resolution for a period of thirty (30) days from the date one party gives written notice of the dispute to the other party.

If the dispute is not resolved amicably within such thirty (30)-day period, it shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and the laws applicable in the Emirate of Dubai. The courts of the Emirate of Dubai shall have exclusive jurisdiction to determine any such dispute, claim or controversy.

Severability: If any provision of these Terms is found to be invalid, illegal or unenforceable under applicable law, that provision shall, to the extent required, be modified or severed and the remaining provisions of these Terms shall continue in full force and effect.

No Waiver: No failure or delay by MyHaven in exercising any right, power or remedy under these Terms shall operate as a waiver of that right, power or remedy, nor shall any single or partial exercise prevent any further exercise of the same or any other right, power or remedy.

Entire Agreement: These Terms, together with any policies or other terms expressly incorporated by reference, constitute the entire agreement between you and MyHaven in relation to your access to and use of the Platform and Services and supersede any prior understanding, communication or agreement relating to the same subject matter.

Modification to Terms: MyHaven reserves the right to modify, suspend or discontinue any part of the Platform or Services at any time. We also reserve the right to update, amend, modify and/or replace these Terms from time to time. It is your responsibility to familiarise yourself with the Terms and Conditions regularly to ensure that you are aware of any change. Your continued access to or use of the Platform or Services following any changes will constitute your acceptance of the revised Terms.

Assignment: You may not assign, transfer or otherwise dispose of any of your rights or obligations under these Terms without the prior written consent of MyHaven. MyHaven may assign or transfer its rights and obligations under these Terms to an affiliate or in connection with a merger, restructuring, sale of business or transfer of the Platform or Services, subject to applicable law.

No Partnership or Agency: Nothing in these Terms shall be construed as creating any partnership, joint venture, employment, fiduciary or agency relationship between you and MyHaven, and neither party shall have authority to bind or incur obligations on behalf of the other except as expressly agreed in writing.

Force Majeure: MyHaven shall not be liable for any delay, interruption or failure to perform any obligation under these Terms to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, hostility, civil unrest, governmental or regulatory action, court or authority decisions, telecommunications or internet failures, power outages, cyber incidents, or failures of third-party service providers or acts mandated by any applicable law, regulation or order of any government body. If a Force Majeure Event continues for more than thirty (30) consecutive days and materially prevents MyHaven from providing the Services, MyHaven may terminate the affected Services or these Terms by written notice to the User, without liability arising solely from such termination.
